Terms of Service

Welcome to SentBy. These Terms of Service ("Terms") constitute a legally binding agreement between you and SentBy regarding your use of our email intelligence platform, including our Gmail Chrome extension and web application.

Legal Capacity

You must be at least 16 years old and have the legal capacity to enter into a binding contract to use SentBy. If you are using SentBy on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Updates to Terms

We may modify these Terms at any time. We will notify you of material changes via email at least 30 days before they take effect. Continued use of SentBy after changes become effective constitutes acceptance of the updated Terms.

SentBy provides email intelligence and contact enrichment services, including:

Core Features

• Contact Enrichment: Automatically enrich email contacts with professional data from publicly available sources, including LinkedIn profiles, company information, work history, and contact details
• Gmail Chrome Extension: Display enriched contact information directly in your Gmail interface as you read emails
• LinkedIn and Company Data: Access scraped LinkedIn profiles, job titles, work history, and company intelligence
• Phishing Detection: Analyze sender information to identify suspicious emails and provide phishing risk assessments
• Google Contacts Sync: Optionally sync enriched contact data to your Google Contacts for seamless integration
• Batch Enrichment: Enrich multiple contacts at once using credits from your subscription plan
• AI-Powered Summaries: Generate intelligent contact summaries and insights

Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The service is provided "as is" and may be subject to maintenance, updates, or temporary outages.

Registration

To use SentBy, you must create an account by providing:

• A valid email address
• Your name
• Authentication via Google OAuth or magic link email verification

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Using a secure password (if applicable) and enabling 2FA

Team Accounts

Scale plan users can create team accounts with shared credits and enriched data. Team administrators are responsible for managing team member access and ensuring compliance with these Terms.

Available Plans

SentBy offers the following subscription plans:

• Free Plan: 10 credits (one-time), all emails and phone numbers, full profile data, LinkedIn integration, company intelligence
• Starter ($19/month): 100 credits/month, all features from Free plan
• Growth ($49/month): 400 credits/month, priority support, all features from Starter
• Scale ($149/month): 1,200 credits/month, team sharing, API access, dedicated support

Credit System

Enrichment operates on a credit-based system. Each contact enrichment consumes 1 credit. Credits:

• Reset monthly for paid plans (on your billing date)
• Do not roll over to the next month
• Are shared across team members
• Cannot be refunded or exchanged for cash

Billing Cycle

• Paid plans are billed monthly on a recurring basis
• Billing begins immediately upon subscription
• You will be charged on the same day each month
• Failed payments may result in service suspension

Payment Processing

Payments are processed securely through Stripe. We never store your credit card details. By providing payment information, you authorize us to charge your payment method for all fees due.

Refund Policy

We offer refunds under the following conditions:

• 30-day money-back guarantee: Full refund within 30 days of your first paid subscription (one-time only)
• Service outage: Pro-rated credit for extended outages exceeding 24 hours
• Billing errors: Immediate refund for duplicate or incorrect charges

No refunds for:

• Unused credits (credits do not roll over)
• Partial month usage after cancellation
• Violation of Terms resulting in account termination

Plan Changes

• Upgrades: Take effect immediately; you are charged the prorated difference for the current billing cycle
• Downgrades: Take effect at the next billing cycle; you retain current plan features until then
• Cancellation: You may cancel at any time; access continues until the end of the current billing period

You agree to use SentBy only for lawful and ethical purposes:

Permitted Uses

• Enriching your own email contacts for professional purposes
• Researching public professional information about contacts
• Building relationships with business contacts
• Protecting yourself from phishing and spam
• Syncing enriched data to your personal Google Contacts

Respect for Third-Party Data

• Enrichment data comes from publicly available sources
• You may use enriched data only for your own business purposes
• Respect individuals' rights regarding their personal information
• Comply with applicable data protection laws (GDPR, CCPA, etc.)

No Scraping SentBy

You may not scrape, crawl, or automatically extract data from SentBy's platform, interface, or APIs without our express written permission.

No Reselling

You may not resell, redistribute, or sublicense access to SentBy or its data to third parties unless you have a Scale plan with API access and a written agreement with us.

Compliance with Anti-Spam Laws

If you use enriched contact data for email marketing, you must comply with:

• CAN-SPAM Act (United States)
• GDPR consent requirements (European Union)
• CASL (Canada)
• Other applicable anti-spam and privacy laws

You may not use SentBy for any of the following purposes:

Illegal Activities

• Violate any laws or regulations
• Engage in fraud, identity theft, or other illegal conduct
• Use enriched data for stalking, harassment, or threatening behavior
• Violate export control laws or sanctions

Harassment or Abuse

• Send unsolicited spam or bulk emails using enriched contacts
• Harass, threaten, or defame individuals
• Use the service to stalk or invade privacy
• Discriminate based on protected characteristics

Reverse Engineering

• Reverse engineer, decompile, or disassemble SentBy's software
• Attempt to discover source code or algorithms
• Create derivative works based on our platform
• Circumvent security measures or access controls

Automated Abuse

• Make excessive API calls or enrichment requests to overwhelm our systems
• Use bots or scripts to automate interactions (except via our official API on Scale plan)
• Attempt denial-of-service attacks or other disruptive activities

Sharing Credentials

• Share your account credentials with unauthorized users
• Allow multiple people to use a single account (except on team plans)
• Create accounts on behalf of others without permission

SentBy Owns the Platform

SentBy and its licensors own all rights, title, and interest in:

• The SentBy platform, software, and services
• All proprietary algorithms, code, and technology
• Trademarks, logos, and branding
• Documentation, content, and materials

You Own Your Data

You retain ownership of:

• Your account data (email, name, preferences)
• Your email metadata (sender addresses, timestamps)
• Any custom notes or tags you add to enriched contacts

License to Use Enriched Data

Enriched contact data (LinkedIn profiles, company information, etc.) comes from publicly available sources. We grant you a non-exclusive, non-transferable license to:

• Use enriched data for your own business purposes
• Export and store enriched data
• Sync enriched data to your Google Contacts

This license terminates upon:

• Violation of these Terms
• Cancellation of your subscription
• Our request to cease use

Third-Party Data Attribution

Enriched data is sourced from publicly available information and third-party providers. We do not claim ownership of this data. You acknowledge that:

• Data accuracy is not guaranteed
• Data comes from public sources and may become outdated
• We are not responsible for third-party data inaccuracies

Your use of SentBy is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

What We Collect

• Email metadata only: We never read your email content
• Sender addresses, timestamps, and message IDs
• Usage data (features used, enrichment requests)
• Technical data (browser, device, IP address)

How We Use Your Data

• Provide contact enrichment services
• Display enriched information in Gmail
• Detect phishing and spam
• Sync to Google Contacts (if enabled)
• Improve our services

SentBy integrates with third-party services. Your use of these integrations is subject to their respective terms and privacy policies:

Google OAuth and Gmail API

• Required for Gmail integration
• Governed by Google's Terms of Service and Privacy Policy
• We request only necessary permissions (read metadata, manage contacts)

Enrichment Data Providers

• Third-party providers supply publicly available professional data
• We do not control or guarantee the accuracy of this data
• Providers may have their own terms and privacy policies

No Endorsement

Integration with third-party services does not constitute endorsement. We are not responsible for the content, practices, or availability of third-party services.

No Guarantee of Uptime

While we strive to provide reliable service, we do not guarantee:

• 100% uptime or uninterrupted access
• Error-free operation
• Compatibility with all devices or browsers
• Availability of specific features at all times

Maintenance Windows

We may perform scheduled maintenance that temporarily affects service availability. We will:

• Provide advance notice when possible
• Schedule maintenance during low-traffic periods
• Minimize disruption to your use

Force Majeure

We are not liable for service interruptions caused by events beyond our reasonable control, including:

• Natural disasters, pandemics, or acts of God
• Government actions, regulations, or restrictions
• Internet outages or infrastructure failures
• Third-party service provider outages
• Cyberattacks or security incidents

Your Responsibility

You are responsible for:

• The accuracy of data you provide
• Any custom notes, tags, or annotations you add
• How you use enriched contact data
• Compliance with applicable laws when using our services

Export Capabilities

You may export your enriched contacts at any time in CSV or JSON format. This ensures you can:

• Maintain a backup of your data
• Transfer data to other systems
• Retain access after cancellation

Data Retention

• Active accounts: Enriched data cached for 30 days
• Canceled accounts: Data retained for 30 days, then permanently deleted
• Exported data: Your responsibility to manage

You May Cancel Anytime

You may cancel your SentBy subscription at any time from your account settings. Upon cancellation:

• You retain access until the end of the current billing period
• Recurring billing stops immediately
• You can export your data before it is deleted
• All data is permanently deleted 30 days after cancellation

We May Suspend for Violations

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Engage in prohibited activities
• Fail to pay subscription fees
• Pose a security or legal risk
• Use the service in a way that harms SentBy or other users

Effect of Termination

Upon termination (whether by you or us):

• Your access to SentBy is immediately revoked
• All licenses granted under these Terms terminate
• We have no obligation to maintain or return your data (export before cancellation)
• Fees owed remain payable

Survival Clauses

The following sections survive termination:

• Disclaimers
• Limitation of Liability

• General Provisions

Service Provided "As Is"

We disclaim all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of data
• Uninterrupted or error-free operation

No Warranty on Data Accuracy

Enriched contact data comes from publicly available sources and third-party providers. We do not warrant that:

• Data is accurate, complete, or up-to-date
• LinkedIn profiles are current or verified
• Contact information (emails, phone numbers) is valid
• Company information is correct or recent

You Assume Risk

Your use of SentBy is at your own risk. You are solely responsible for:

• Verifying data accuracy before use
• Compliance with laws when using enriched data
• Any decisions made based on enriched information
• Protecting your account and data

No Indirect Damages

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Loss of goodwill or reputation
• Business interruption
• Cost of substitute services

Exceptions

This limitation does not apply to:

• Our gross negligence or willful misconduct
• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Liabilities that cannot be limited by law

You agree to indemnify, defend, and hold harmless SentBy, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of SentBy
• Your violation of these Terms
• Your violation of any laws or regulations
• Your infringement of any third-party rights
• Your misuse of enriched data
• Any content you submit or actions you take using the service

Defense and Settlement

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense. You may not settle any claim without our prior written consent.

Informal Resolution

Before filing a formal claim, you agree to contact us at legal@trysentby.com and attempt to resolve the dispute informally for at least 30 days.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Venue

Any legal action or proceeding arising from these Terms will be brought exclusively in the federal or state courts located in Delaware. You consent to the personal jurisdiction of these courts.

Class Action Waiver

Right to Modify

We may update these Terms at any time to reflect:

• Changes to our services or features
• Legal or regulatory requirements
• Security or privacy improvements
• Operational changes

Notice Requirements

• Material changes: Email notification at least 30 days before effective date
• Minor changes: Update "Last updated" date and post on website
• In-app notification: Banner displayed on login

Continued Use Constitutes Acceptance

Your continued use of SentBy after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree, you must cancel your account before the changes take effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SentBy regarding your use of the service, superseding any prior agreements.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

Notices to you may be sent via:

• Email to the address on your account
• In-app notifications
• Posting on our website

Notices to SentBy should be sent to legal@trysentby.com.

Feedback

If you provide feedback, suggestions, or ideas about SentBy, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.
